These Advertiser Terms govern your use of ClipAd, operated by Clip Technologies, as a brand running campaigns with African video creators. They supplement our Terms of Service and set out how campaigns, billing, and measurement work.
This is a template for an early-stage product and not legal advice.
ClipAd operates in Ghana, with Nigeria and Kenya coming soon, and each campaign runs in its market's local currency (GHโต in your market). You may create campaigns that define a budget and the creators or categories you wish to reach, subject to a minimum campaign budget of GHโต1,000. Campaigns move through clear states โ from draft to active, and may be paused or completed. You are responsible for the accuracy of your campaign settings and for ensuring your advertising complies with all applicable laws and these terms. ClipAd may review campaigns and decline or pause any that breach our policies.
Campaigns are billed on a capped cost-per-thousand-views (CPM) basis. For each placement โ a creator featuring your brand in their content for one campaign โ you pay a per-1,000-views rate (GHโต85 per 1,000 views in your market) for the views the placement delivers, up to a per-placement cap set by that creator's recent 30-day view tier. You pre-fund campaigns, and those funds are held in escrow. When you accept a creator, the cap (cap ร CPM) is reserved from escrow; once the placement is served in creator content, published, and verified, the charge is settled from the placement's measured views and any unused reservation is released back to your available budget. We never draw more than the cap for any placement. Unspent budget from a completed or cancelled campaign is handled as described in the refunds section. Payment details are processed by our payment provider and not stored by us.
You must supply the brand content and messaging you run with creators in a form that meets our quality standards, as specified in the brand portal. Your brand content must be honest, clearly identifiable as advertising, and must not be deceptive. You represent that you hold all rights to the assets you provide, including footage, music, trademarks, and any likenesses.
ClipAd is a two-sided marketplace. You can specify the content categories and contexts you are willing to appear in, and we classify creator content for suitability. Independently, creators approve which of their segments may carry advertising and may decline specific brand campaigns or placements. This means placements depend on both your suitability settings and creator approval, protecting brand and creator alike.
You are buying an authentic placement billed on the views it delivers, up to the creator's per-placement cap โ not a guarantee of a specific number of views, reach, or performance outcome. Billing is settled from the views measured on the published placement (for a post on a connected account confirmed to belong to the creator); where views cannot be measured, the placement settles at no more than its cap. A creator's view tier โ which sets the cap โ is taken from views shown on their public profile over the last 30 days, which we verify using reasonable methods. We surface your placements and their measured views on your dashboard. Deeper impression analytics, A/B testing, and make-goods are not part of the service today and are on our roadmap.
Because budget is held in escrow and a placement is charged only for the views it delivers up to its cap, the unused portion of each placement's reservation is released back to you, and any remaining unspent funds from a cancelled or completed campaign are returned or credited to you. If you believe you were charged for views a placement did not deliver, or that a campaign did not run as agreed, you may raise a dispute through your dashboard or our contact page. We will investigate in good faith and issue credits or refunds where warranted under these terms.
You retain ownership of your brand content. You grant ClipAd a limited license to host, process, display, and distribute that content in connection with creator placements for your campaigns. ClipAd and its platform remain the property of Clip Technologies, and you receive only a limited right to use the service for advertising.
Advertising must comply with our Content & Community Policy and the law. Prohibited advertising includes, without limitation:
You may pause or stop your campaigns and close your account at any time. We may suspend or terminate access if you breach these terms, our Terms of Service, or our policies, or if your activity creates risk for creators or the platform. On termination, escrowed funds are reconciled against delivered placements and any remainder returned. For questions, reach us through our contact page.
