Terms of Service

These Terms of Service ("Terms") govern your access to and use of ClipAd, a marketplace that connects African video creators with global and regional brands for AI-assisted clip monetization. ClipAd is operated by Clip Technologies ("ClipAd", "we", "us", or "our").

This is a template for an early-stage product and not legal advice.

1. Acceptance of these terms

By creating an account, accessing, or using ClipAd in any way, you agree to be bound by these Terms and by any policies referenced here, including our Privacy Policy, Cookie Policy, and Content & Community Policy. If you are using ClipAd on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree to these Terms, you may not use the platform.

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use ClipAd. You must be able to form a legally binding contract and must not be barred from using the service under the laws of Ghana or any other applicable jurisdiction. The platform is intended for creators and brands operating across the markets we serve, and certain features may be limited by region.

3. Your account

You are responsible for safeguarding your login credentials and for all activity that occurs under your account. You agree to provide accurate, current information and to keep it up to date. Notify us promptly at our contact page if you suspect any unauthorized use. We may suspend or limit accounts that contain inaccurate information or that we reasonably believe are being used in violation of these Terms.

4. Creator and brand obligations

Creators are responsible for the content they upload and must hold all necessary rights to that content and any music, footage, or likenesses it contains. Creators retain ownership of their content and approve which segments may carry advertising before any brand campaign runs.

Brands are responsible for the advertising creative they supply, for ensuring it is lawful and non-deceptive, and for holding the rights to all assets within it. Both parties agree to:

  • Act in good faith and honor accepted collaborations and campaigns.
  • Refrain from circumventing the platform to avoid fees once a match is made through ClipAd.
  • Comply with all applicable advertising, consumer-protection, and data-protection laws.

5. Payments, fees, and payouts

Brands pre-fund campaigns, and campaign budgets are held in escrow. Placements are billed on a capped cost-per-thousand-views (CPM) basis: the brand pays a per-1,000-views rate for the views a placement delivers, up to a per-placement ceiling set by the creator's recent-30-day view tier. At acceptance, the ceiling (cap ร— CPM) is reserved from escrow; after the placement is published and verified, the charge is settled from the measured views and any unused reservation is refunded to the brand. Of the brand's CPM, the creator receives the creator share (about 70%) and ClipAd retains the remainder, charged to the brand only โ€” not the creator. There are no fees charged to creators; joining, uploading, and withdrawing are free, as disclosed in the Creator Agreement and on your dashboard. Creator payouts are made in the creator's local currency (Ghana Cedis GHโ‚ต, Nigerian Naira โ‚ฆ, or Kenyan Shillings KSh) via their market's payout method (Mobile Money in Ghana, bank transfer in Nigeria, or M-Pesa in Kenya), subject to minimum thresholds and identity verification. Taxes are the responsibility of each party. Detailed billing and refund terms for advertisers are set out in the Advertiser Terms.

6. Intellectual property

ClipAd, including its software, design, and brand, is owned by Clip Technologies and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the platform for its intended purpose. You retain the rights to your own content; by uploading, you grant us the limited license described in the Creator Agreement so we can host, process, segment, display, distribute, and deliver your content.

7. Prohibited use

You agree not to misuse the platform. Prohibited activity includes, without limitation:

  • Uploading content you do not have the rights to, or that violates our Content & Community Policy.
  • Attempting to defraud the placement, view-count, or payout systems, including artificial views, traffic, or manipulation.
  • Reverse-engineering, scraping, or interfering with the security or integrity of the service.
  • Using the platform for any unlawful, infringing, or deceptive purpose.

8. Termination

You may stop using ClipAd and close your account at any time. We may suspend or terminate your access if you breach these Terms, create risk or legal exposure for us, or if we discontinue the service. On termination, outstanding verified earnings will be paid out subject to our standard processes, and provisions that by their nature should survive โ€” including IP, disclaimers, and liability limits โ€” will continue to apply.

9. Disclaimers and limitation of liability

ClipAd is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee specific earnings, audience reach, or campaign outcomes. To the fullest extent permitted by law, ClipAd and Clip Technologies will not be liable for any indirect, incidental, special, consequential, or punitive damages, and our aggregate liability for any claim will not exceed the greater of the fees you paid to us in the three months preceding the claim or GHโ‚ต1,000.

10. Governing law and changes

These Terms are governed by the laws of the Republic of Ghana, without regard to conflict-of-law principles, and the courts of Ghana will have jurisdiction over any disputes, subject to any mandatory rights you have under local law. We may update these Terms from time to time; when we do, we will revise the "Last updated" date and, for material changes, provide additional notice. Continued use after changes take effect constitutes acceptance.
